  1. Agreement Between You and Equation 2 Success, Inc. 

Welcome to the Equation 2 Success community! Please read our Terms of Use carefully before proceeding. 

Acceptance. The Terms of Use is a contractual agreement entered into between creator and seller of Skoolturf Online Course, Equation 2 Success, Inc. (“Equation 2 Success,” “we,” “us,” or “our”), and purchasers of Skoolturf Online Course (“you” or “your”). 
By accessing and/or using Equation 2 Success’ Skoolturf Online Course (“Course”), the Equation 2 Success Website (“Website”), the presentation slides or any other digital or printed copies of materials from the Course or Website, or any of the services provided or otherwise made available through the Course and/or Website (together, the “Services”), or by accessing or using our Services through a third-party application, you agree to be bound by these Terms of Use (“Terms”). All purchases of the Course are final and nonrefundable.

By using, or creating an account through, the Services and clicking “I agree” to the Terms when this option is made available to you, you accept and agree to be bound and abide by these Terms

No Permission Without Agreement. If you do not agree with the Terms, do not understand the Terms, or do not have the necessary authority and consent to be bound by the Terms, you may not access or use the Services in any way.

Updates to the Terms. We may revise and update these Terms from time to time, in our sole discretion. When changes are made, Equation 2 Success shall provide notice of the change by electronic mail to the address on file using our customer relationship management system (e.g., HubSpot). It is your responsibility to ensure that your contact information remains current. Your continued use of the Services after the effective date of any updates constitutes your acceptance of the revised Terms. Any revised copy of the Terms shall be made publicly accessible on the Services, as applicable, and we will update the “Last Modified” date at the top of the Terms to reflect the date of such change(s). 

If you do not agree to any change(s) after receiving notice of such change(s), you must stop using the Services and please promptly contact us to have your Course account access deleted and/or terminated. Otherwise, your continued use of the Services constitutes your acceptance of such change(s). 

All changes to these Terms are effective immediately once distributed and apply to all subsequent access to and use of the Services. However, any changes to the dispute resolution provisions set out in Governing Law and Jurisdiction and Arbitration will not apply to any disputes for which the parties have actual notice before the date of change is posted on the Services. 

Separate Privacy Policy. Protecting your privacy is important to us. By using our Services, you agree that you have read and understood our Privacy Policy (“Privacy Policy”), which is incorporated into these Terms by reference. You can read our Privacy Policy at https://skoolturf.thinkific.com/pages/privacy to learn more about how we use and protect the information we collect from Users. 

Geographic Restrictions. Equation 2 Success, the owner of the Course, is based in the State of California in the United States. We provide these Services only for persons and entities located in the United States. If you access the Services from outside the United States, you do so at your own risk and are responsible for compliance with local laws of the respective geographic location. To the extent permissible by law, your use of the Services in geographic regions where it or its content is illegal, whether within or outside of the United States, is strictly prohibited. 

Arbitration and Remedies. These Terms require the use of arbitration on an individual basis to resolve disputes, rather than jury trials or class actions, and also limit the remedies available to you in the event of a dispute. More information about arbitration can be found below in Arbitration. 


  1. Users.  

Types of Users. The Services are available to several different types of users (“Users”), who will have different tools, functionalities and restrictions based on the subscription plan and license granted to the Users. For example, the Services may be purchased and accessed by educators and instructors of students (“Teachers”), and/or individuals working within an educational institution, such as a school or school district, in an administrative or nontraditional capacity (“Administrators”), who will use the Services           or by certain authorized external business partners (“Partners”). For avoidance of doubt, for purposes of these Terms, a school shall mean an educational institution which provides primary, secondary, or both primary and secondary education for students (“Students”) that are enrolled in the institution and that range from a Kindergarten through Twelfth grade formal education level for individuals that are 18 years old or younger (henceforth, “School” or “School District”).

User Eligibility. By registering for or using the Services in any way, you agree that you meet the following eligibility criteria: (a) you are not currently restricted from the Services and are not otherwise prohibited from having a related account; (b) you will only provide accurate information to Equation 2 Success when creating an account or using the Services; and (c) you will not violate the rights of Equation 2 Success or any third party relating to the Services. If you are under age 18, you may only register under the supervision of an adult, in which case the adult will be deemed the User and will be responsible for any and all activities you engage in relating to your use of the Services. 


  1. Services 

Use of the Services. The Services and its content, features, and functionality are owned by Equation 2 Success and protected by intellectual property and proprietary rights laws across the U.S. Subject to the Terms, Equation 2 Succession grants you a limited, non-exclusive license to access, view, download, use, or reproduce certain portions of the Services, as designated by Equation 2 Success, for the sole purpose of using the Services for your (or your school’s and/or school district’s) educational, non-commercial purposes. For avoidance of doubt, the downloadable materials referenced in this paragraph are the same as the presentation slides and other digital or printed copies of materials from the Course or Website, as referenced in the “Acceptance” paragraph of Section 2 of these Terms (henceforth, “Downloadable Materials”). You understand and agree that the Downloadable materials are a key and valuable aspect of our Services. The Downloadable Materials may include, but are not limited to, editable lesson plan templates, downloadable classroom presentations, and student reference slides made available to you via Equation 2 Success’s Services. The Downloadable Materials may be downloaded, modified, and used solely for instructional purposes within your classroom or school setting, subject to the account type that you have purchased or has been purchased for you by your School District, Administrators, and/or Partners. You may not use these Downloadable Materials for commercial purposes, publish them publicly online, or remove proprietary markings or logos from any of the Downloadable Materials. To the extent your account is associated with a School District, you may share the Downloadable Materials within your School or School District only to the extent permitted by these Terms and the allowances granted by your account. 

Restrictions. You may use the Services only for lawful purposes and in accordance with these Terms. The rights granted to you in the Terms are subject to the following restrictions: 

The Terms will govern any future release, update, or other changes and additions to the Services. If you use the Services in any unauthorized way, the licenses granted to you by Equation 2 Success via these Terms will be terminated, subject to section 11 as specified below. 


  1. Account Registration 

To gain access to certain features of the Services, you must have a registered account for the Services (“Account” or “Accounts”). As specified under Types of Users, Accounts are categorized for the purposes of these Terms as “Teachers,” “Administrators,” and “Partners.” 

User Registration Data. To access the Services or features offered through the Services, you may be asked to provide certain registration details or other User information. The Services may also provide you with the opportunity to share information about yourself with other Users. The information you provide on the Services must be correct, current, and complete. 

Collection and Use of User Data. You acknowledge that when you download, install, or use the Services, Equation 2 Success may use automatic means of collecting information about your use of the Services. You agree that the information you provide to register with the Services, or to use the Services, is governed by our Privacy Policy https://skoolturf.thinkific.com/pages/privacy, which is hereby incorporated by reference into these Terms. You also consent to all actions we take with respect to your information, consistent with our Privacy Policy.

User Responsibility. You are responsible for all activities that occur on your Account. You may not share your Account or password with anyone, and you agree to notify Equation 2 Success immediately of any unauthorized use of your password or other breach of security. You should exercise caution when accessing your Account from a public or shared computer so that others are not able to view or record your password or other personal information. You agree not to create or access an Account using a false identity or any false or inaccurate information, or on behalf of someone other than yourself. You agree not to create an Account or use the Services if you have been previously removed by Equation 2 Success, or if you have previously been banned from any of the Services. 

     Accounts for Educational Institutions and Educators (Teachers and Administrators) 

Teacher and Administrator Accounts. Equation 2 Success permits two different types of Accounts on the Services for educational professionals accessing and using the Services on behalf of a School: “Teacher” Accounts and “Administrator” Accounts. The authority to create and use either of these Account types shall be determined by the appropriate individual at a School and, thereafter, the identity of the appropriate individual shall be conveyed to Equation 2 Success with the appropriate contact information of said individual for purposes. Said individual shall, for all intents and purposes, serve as the point person for the School and/or School District whom Equation 2 Success can contact regarding your collective use of the Services.

Use By or on Behalf of an Entity. If you are using or accessing the Services on behalf of a School, in addition to being an eligible individual user, you must also have the authority and permission to enter into the Terms on behalf of the School and to use the Services on such School’s behalf, including without limitation any consent necessary to use the Services in connection with any particular students of the School. Your School will also be responsible for any activities, including any violation of the Terms, that occur in connection with your Account. 

Changes in Eligibility. If you are no longer (a) employed by your School (or another School through which you use the Services), or (b) otherwise authorized to view or use Student records, you (i) must notify Equation 2 Success immediately of such change and (ii) are not permitted to continue to view or use your Account. 

Accounts for External Partners. “Partner” Accounts are for use by certain external partner companies or organizations who are expressly authorized by Equation 2 Success to access the Services.


  1. Community Standards

At Equation 2 Success, we strive to foster a sense of community. Our Services may contain interactive features that allow Users to post, submit, publish, display, or otherwise make available to other users (“Make Available”) content or materials by way of the community section offered on Thinkific, the platform used to house and facilitate access to our Website (collectively, “User Contributions”). 

To maintain this sense of community, as a condition of use, you agree not to use the Services for any purpose that is prohibited by the Terms or by applicable law or by any user conditions and/or terms of use imposed separately by Thinkific. It is prohibited to Make Available, or permit others to Make Available, content or materials on the Services or on your Account that: 

  1. Encourages or assists in any illegal activity, is fraudulent, or is tortious; 

  2. Contains sexually explicit material, violence, or otherwise obscene content; 

  3. Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age; 

  4. Insults, defames, harasses, harms, or threatens others; 

  5. Violates any intellectual property or other proprietary rights of Equation 2 Success others; 

  6. Impersonates any person or misrepresents your identity or affiliation with any person or organization; 

  7. Advertises or sells a product or services; or 

  8. Violates the legal rights of others or contains any materials that may otherwise be in conflict with these Terms and our Privacy Policy https://skoolturf.thinkific.com/pages/privacy

  1. User Contributions 

Responsibility. You acknowledge that you, and not Equation 2 Success, are entirely responsible for User Contributions you Make Available through the Services. Other Users of the Services, and not Equation 2 Success, are similarly responsible for all User Contributions Made Available through the Services. You agree that Equation 2 Success will not be responsible for any liabilities sustained as a result of such interactions. You use the Services, and interact with other Users on the Services, at your own risk. 

No Obligation to Monitor Content. You acknowledge that Equation 2 Success has no obligation to review, monitor, or pre-screen User Contributions on the Services. However, Equation 2 Success reserves the right, in its sole discretion, to review, monitor, pre-screen, refuse, modify, or remove any User Contributions that: (a) violate any law or regulation; (b) violate these Terms; (c) otherwise create or may create liability for Equation 2 Success; and (d) for any other reason that Equation 2 Success determines in its sole discretion. Equation 2 Success may also authorize certain School Administrators to review, monitor, or pre-screen User Contributions on the Services in accordance with these Terms. Except as expressly provided in these Terms, we do not endorse, approve, or make any representations or warranties with respect to User Contributions. Equation 2 Success reserves the right to suspend or terminate User access for violations of these Terms, including this User Contributions section, and may provide notice or an opportunity to appeal at its sole discretion.

     

Security. We take your security very seriously and work hard to protect the privacy of our Users. This includes using reasonable and appropriate administrative and technical safeguards to secure User Contributions from unauthorized access, disclosure, and use. However, we cannot provide guarantees as to the security of any User Contribution since Equation 2 Success does not own or control Thinkific’s platform. Equation 2 Success makes no representation or warranty that it is responsible for the privacy of Users and urges that you practice reasonableness and discretion in making any and all User Contributions.


  1. Intellectual Property

Intellectual Property Rights to User Contributions. Equation 2 Success enables you to Make Available posts, texts, and images, referred to as your User Contributions, to share with other Users on the Website. By Making Available your User Contributions on the Website, you grant Equation 2 Success a nonexclusive, transferable license to use, copy, reproduce, modify, create derivative works from, publish, transmit, store, display, and distribute your User Contributions in connection with the operation or use of the Services. If you are an educator and choose to share lesson materials or teaching resources, you retain ownership of such content, but grant Equation 2 Success a license to use and share those materials for educational purposes within the Services.


Except for your User Contributions Made Available on or through the Services, which you own, you agree that Equation 2 Success and its licensors own all intellectual property rights, title, and interest in the Services as provided for and by under all applicable laws of the United States, which shall include but not be limited to copyrights, trademarks, trade secrets or trade dresses, patents, and any other types of intellectual property. 

Compliance with Intellectual Property Law. You agree that, when using the Services, you will obey all applicable laws and respect the intellectual property rights of others in addition to Equation 2 Success. Your use of the Services is at all times governed by and subject to copyright and other intellectual property laws. You agree not to upload, post, transmit, display, perform, or distribute any content, information, or other materials in violation of any third party’s copyrights, trademarks, or other intellectual property or proprietary rights. You accept full responsibility for avoiding infringement of the intellectual or personal rights of others or violation of laws and regulations in connection with your User Contributions. 

Open Source. The Services may contain open-source components that are subject to open-source licenses (“Open-Source Software”), in which case the embedded Open-Source Software is owned by a third party. The Open-Source Software is not subject to these Terms. Instead, the Open-Source Software is licensed under its applicable license terms. Equation 2 Success makes no representations or warranties as to ownership or control of the Open-Source Software and, in using our Services, you agree to hold us harmless for any disputes that arise directly from your use of the Open-Source Software.

Copyrighted Materials. Excluding User Contributions Made Available on or through the Services, all the content and other materials available through the Service, including without limitation the Equation 2 Success logo, design, text, graphics, and other files along with their selection, arrangement, and organization, are owned by Equation 2 Success. You retain ownership of the copyright and other intellectual property in your User Contributions, subject to the non-exclusive rights granted above. 

You may not remove or obscure any copyrighted notices or other similar protective notices utilized in any content and other materials available through the Services.


  1. Procedure for Making Copyright Infringement Claims 

DMCA Copyright Policy 

We respect the intellectual property rights of others, and we ask you to respect them, too. It is Equation 2 Success’s policy to terminate membership privileges of any User who repeatedly infringes copyright upon prompt notification to Equation 2 Success by the copyright owner or the copyright owner’s legal agent in compliance with the Digital Millennium Copyright Act (DMCA). 

If you believe your work has been copied and posted on the Services in a way that constitutes copyright infringement, please notify us and provide us with the following information (“Take Down Notice”): 

  1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; 

  2. A description of the copyrighted work that you claim has been infringed; 

  3. A description of the location on the Services of the material that you claim is infringing (for example, URL linking to the material); 

  4. Your address, telephone number and email address; 

  5. A written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and 

  6. A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

After receiving a notification of alleged infringement, Equation 2 Success will remove or disable access to material claimed to be infringing. We reserve the right to remove any content that violates copyright laws, and we will terminate Accounts of any Users who repeatedly infringe such laws. 


DMCA Counter Notice 

If you believe that material you Made Available on the Services was removed or access to it was disabled by mistake or misidentification, you may make a counter notification (“Counter Notice”) by submitting a notification to [email protected] with the subject line “DMCA Counter Notice” 

Please be advised that you may be held liable for damages if you make material misrepresentations pursuant to federal or state law in the counter notifications. To expedite our ability to process your counter notice, please include the following in your Counter Notice: 

  1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; 

  2. An identification of the material that has been removed or to which access has been disabled and the location at which this material appeared before it was removed or disabled; 

  3. Adequate information by which Equation 2 Success can contact you, such as your full legal name, address, telephone number, and email address if applicable);

  4. A statement under penalty of perjury by you that you have a good faith belief that the material identified above was removed or disabled as a result of a mistake or misidentification of the material removed or disabled; 

  5. A statement that you will consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located and that you will accept service from the person or agent of that person who provided Equation 2 Success with the complaint at issue. 


  1. Reliance on Information Posted 

Please note that Users are solely responsible for the content of their User Contributions. Opinions, advice, statements, and other information Made Available through the Services by Users are those of their respective Users and should not necessarily be relied upon. Equation 2 Success does not: (i) guarantee the accuracy, completeness, or usefulness of any third-party User Contribution accessible on or through the Service; or (ii) adopt, endorse or accept responsibility for the accuracy or reliability of any opinion, advice, or statement made by a third-party User in their User Contributions on the Services. Under no circumstances will Equation 2 Success be responsible for any loss or damage resulting from your reliance on information or other User Contributions Made Available through the Services.


  1. Termination

You are free to stop using our Services at any time. Equation 2 Success reserves the right to suspend or terminate your access to our Services, at our sole discretion, without prior notice, for any reason and at any time, including but not limited to if we reasonably believe that you have violated these Terms or that your Use of the Services would cause a real risk of harm to us or other Users. Upon termination of your access to your Account, all rights granted to you under these Terms will also terminate, effective immediately. 


  1. Disclaimer of Warranties

Our goal is to provide a great experience on our Services, but there are certain guarantees that we cannot make. 

YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK, AND THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EQUATION 2 SUCCESS AND ITS OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS (COLLECTIVELY, THE “EQUATION 2 SUCCESS PARTIES”) MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICES. WE ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS, FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 

Equation 2 Success Parties make no warranty, representation, or condition that: (a) the Services will meet your requirements; (b) your use of Services will be uninterrupted, timely, secure, or error-free; (c) the User Contributions that may be obtained from the use of the Services will be accurate or reliable; or (d) that any errors or defects will be corrected. Any content downloaded from or otherwise accessed through the Services is accessible at your own risk, and you shall be solely responsible for any damage to your property or person, or any other loss that results from accessing such content. 


  1. Limitation of Liability 

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU UNDERSTAND AND AGREE THAT EQUATION 2 SUCCESS PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, EMOTIONAL DISTRESS, BUSINESS INTERRUPTION, LOSS OF GOODWILL, LOSS OF USE, OR LOSS OF DATA (REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, INCLUDING WHETHER CAUSED BY TORT, BREACH OF CONTRACT, OR OTHERWISE. EQUATION 2 SUCCESS PARTIES ASSUME NO RESPONSIBILITY FOR THE CONDUCT OF OUR USERS OF THE SERVICES. 

YOUR EXCLUSIVE REMEDY AND OUR ENTIRE LIABILITY, IF ANY, FOR ANY CLAIM ARISING OUT OF THE SERVICES SHALL BE LIMITED TO THE AMOUNT YOU PAID US, IF ANY, FOR THE SERVICES. 



  1. Indemnification 

You agree to indemnify, defend, and hold Equation 2 Success and the Equation 2 Success Parties harmless from any losses, costs, liabilities, and expenses, including reasonable attorneys’ fees, relating to or arising out of: (a) your User Contributions Made Available by you; (b) your use of the Services; (c) your violation of the Terms; (d) your violation of any rights of another party relating to the Services, including any violation of a third party’s copyrights, trademarks, or other intellectual property or proprietary rights; or (e) your violation of any applicable laws, rules, or regulations. The duty to defend referenced in this section shall arise only against third-party claims brought against us related to your alleged violation of the third-party’s rights relating to the Services, these Terms, or applicable law, and the duty to defend would exclude our own negligence or intentional acts. In the event your duty to defend Equation 2 Success arises, Equation 2 Success will select its own counsel but you would retain the right to reasonably participate in defense strategy.

Equation 2 Success reserves the right, at its own cost, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Equation 2 Success in asserting any available defenses. You agree that the provisions in this section will survive termination of these Terms. 


  1. Governing Law and Jurisdiction 

All matters relating to the Services and these Terms, and any dispute or claim arising out of the Services and these Terms, will be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction). 

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in the city of Los Angeles and County of Los Angeles. You waive any objections to the exercise of jurisdiction over you by such courts and to venue in such courts. 


  1. Arbitration 

YOU AGREE THAT ANY AND ALL DISPUTES OR CLAIMS THAT ARISE BETWEEN YOU AND EQUATION 2 SUCCESS OUT OF THESE TERMS SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION. 

You agree that any arbitration will be administered under the Rules of Arbitration of the American Arbitration Association (“AAA”) in accordance with the AAA’s Consumer Arbitration Rules. Any arbitration hearing will be held in Los Angeles County, California and shall be governed by the laws of California. The arbitrator shall have the authority to award any legal or equitable remedy, including but not limited to damages, injunctive relief, or specific performance. Any final award rendered by the arbitrator may be confirmed and enforced in any state or federal court of competent jurisdiction. Judgment on the arbitrator’s award may be entered in any court having jurisdiction over the claim(s).  

The prevailing party shall be entitled to an award of reasonable attorney fees. Except as required by law, neither a party to the dispute nor an arbitrator may disclose the existence, content, results of any arbitration without the prior written consent of both parties. 

You also agree that any arbitration will be limited to an individual claim. You and Equation 2 Success agree that each party may only bring claims against the other in an individual capacity and not as a plaintiff or class member in a purported class or representative proceeding. If this specific provision is found unenforceable by the proper court of jurisdiction, the claim will still be finally and exclusively resolved by binding arbitration upon the election of either party. No arbitration shall be enjoined with any other arbitration. There is no right for any claim to be arbitrated on a class-action basis or to employ class action procedures. There is also no right of authority for any claim to be brought in a purported representative capacity on behalf of either the general public or any other individual. 

A party may seek, in a proper court of jurisdiction, equitable relief, including a temporary restraining order, preliminary injunction, or other interim or conservatory relief. This includes express permission for Equation 2 Success to seek injunctive relief to protect our intellectual property rights. 


  1. Waiver and Severability 

Waiver. No waiver by Equation 2 Success of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Equation 2 Success to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

Severability. If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.


  1. Entire Agreement 

The Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and Equation 2 Success regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and verbal, regarding the Services.     


  1. Your Comments and Concerns 

All notices of copyright infringement claims should be sent to the copyright agent designated in our Procedures for Making a Copyright Claim
